Terms of Service

These Terms of Service ("Terms") form a binding electronic agreement under the Indian Contract Act, 1872 and the Information Technology Act, 2000 between you (or the entity you represent) ("you", "Customer") and AXPIR Tech India LLP, a Limited Liability Partnership registered in India having its office at 1st Floor, CC 54, 2593-5, Door No G-307, Bose Nagar Road, Elamkulam, Kochi, Ernakulam, Kerala — 682020, India ("AXPIR", "Company", "we", "us") governing your use of Pipezy and related websites, mobile apps, APIs and integrations (collectively, the "Service"). By creating an account, clicking "I agree", or otherwise accessing the Service you accept these Terms, our Privacy Policy and our Refund Policy.

1. Eligibility

You must be at least 18 years old and competent to contract under Section 11 of the Indian Contract Act, 1872. If you accept these Terms on behalf of an organisation, you represent that you are authorised to bind it. The Service is not offered to persons or entities barred from receiving services under the laws of India or any other applicable jurisdiction (including OFAC, UN, EU and UK sanctions lists).

2. Accounts & Security

You are responsible for maintaining the confidentiality of your credentials and for all activity on your account. Notify us immediately at hi@Pipezy.app of any unauthorised access. We may require multi-factor authentication for certain features.

3. Acceptable Use

You agree not to host, display, upload, modify, publish, transmit, store, update or share information that is prohibited under Rule 3(1)(b) of the IT (Intermediary Guidelines) Rules, 2021, or that:

• Is unlawful, defamatory, obscene, pornographic, paedophilic, invasive of privacy, insulting on the basis of gender, libellous, racially or ethnically objectionable, or otherwise inconsistent with Indian law.
• Infringes any patent, trademark, copyright or other proprietary rights.
• Violates anti-spam laws including the CAN-SPAM Act (US), CASL (Canada), GDPR / ePrivacy Directive (EU/UK) and TRAI Telecom Commercial Communications Regulations (India). You alone are responsible for ensuring that recipients of communications sent through Pipezy have given the consent required by applicable law.
• Attempts reverse engineering, scraping, denial-of-service, or bypass of usage limits or rate limits.
• Uploads malware, harmful code, or data you do not have the right to process.
• Uses the Service to generate or distribute child sexual abuse material, content promoting violence/terrorism, or any content described under Section 67/67A/67B of the IT Act, 2000.

4. Subscriptions, Fees & Taxes

Paid plans are billed in advance on a monthly or annual cycle in the currency displayed at checkout. All fees are exclusive of applicable taxes including Indian GST (CGST/SGST/IGST), which will be added at the prevailing rate. Prices may change with at least 30 days' prior notice for the next billing cycle. Non-payment may result in suspension or termination. Pursuant to the Consumer Protection (E-Commerce) Rules, 2020, total price, validity, cancellation, refund and grievance details are disclosed on our Pricing and Refund pages.

5. Your Data & Licence

As between the parties, you retain all rights, title and interest in the Customer Data you submit. You grant AXPIR a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, process and display Customer Data solely to provide and improve the Service and as further described in our Privacy Policy. You represent that you have all consents, notices and lawful bases required to upload Customer Data (including under the DPDP Act, 2023 and GDPR).

6. AI Features

The Service includes optional AI-assisted features (lead enrichment, email rewrites, summaries, lead scoring). AI output is generated by third-party large language models and may be inaccurate, incomplete, or biased. You are responsible for reviewing AI output before relying on it. We may use de-identified, aggregated usage statistics to improve the Service; we do not use your Customer Data to train third-party foundation models.

7. Third-Party Integrations

The Service may integrate with third-party services such as Google Workspace / Gmail, Microsoft 365, Razorpay, Stripe, Twilio and others. Your use of those services is governed by their own terms. We are not responsible for third-party services and may discontinue any integration without liability.

8. Service Availability & Support

We target 99.5% monthly uptime for paid plans excluding scheduled maintenance and force-majeure events. Support is provided via email at hi@Pipezy.app in English during Indian business hours (Mon–Fri, 10:00–18:00 IST). Free plans are provided on an "as available" basis with community-only support.

9. Intellectual Property

Pipezy, the AXPIR logo, the Service software, look and feel and all related IP are and remain the exclusive property of AXPIR Tech India LLP. Feedback you provide may be used by us without restriction or compensation.

10. Suspension & Termination

You may cancel anytime from Settings → Billing. We may suspend or terminate your account immediately if (a) you breach these Terms, (b) we are required to do so by law or court order, (c) prolonged non-payment, or (d) activity that poses a security or legal risk. Upon termination you may export Customer Data for 30 days; after that we will delete or irreversibly anonymise it (subject to legal retention obligations).

11. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted availability, to the maximum extent permitted by law.

12. Limitation of Liability

To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, business or goodwill. Our aggregate liability for any and all claims arising out of or relating to the Service shall not exceed the fees actually paid by you to AXPIR in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law (e.g. fraud, gross negligence, or statutory consumer rights).

13. Indemnification

You will indemnify and hold AXPIR, its partners, employees and affiliates harmless from any third-party claim arising out of (a) your Customer Data, (b) your violation of these Terms or applicable law, or (c) your misuse of the Service.

14. Force Majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including acts of God, war, terrorism, riots, pandemics, government action, internet or telecom outages, and failure of upstream cloud providers.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of India without regard to conflict-of-laws principles. Subject to clause 16, courts at Ernakulam, Kerala, India shall have exclusive jurisdiction.

16. Arbitration

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably within 30 days. Failing that, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 before a sole arbitrator appointed by AXPIR. The seat and venue of arbitration shall be Kochi, Kerala. The language shall be English.

17. Modifications

We may modify these Terms. Material changes will be notified by email or in-app notice at least 7 days before they take effect. Continued use after the effective date constitutes acceptance.

Complaints are acknowledged within 24 hours and resolved within 15 days as required by Rule 3(2) of the IT (Intermediary Guidelines) Rules, 2021.
